1. Scope of these terms

These Website Terms and Disclaimers govern use of the DataProceeds website and submission of an initial business inquiry. “DataProceeds,” “we,” “us,” and “our” refer to the service offered under the DataProceeds brand. “You” means the person using the site and, where that person has authority to act for a business, that business.

DataProceeds provides information and an initial inquiry process to help businesses explore whether their data may be relevant to potential buyers or licensing opportunities. Further discussion may address data categories, preparation, rights, privacy, permitted uses, and commercial fit. Our Privacy Policy explains how we handle inquiry and website information.

The statement next to the submission button explains that submitting an inquiry accepts these terms. The separate checkbox authorizes inquiry-related contact. If you do not agree to these terms, do not submit an inquiry. You may still use the privacy request form to exercise privacy choices without accepting opportunity follow-up.

2. Eligibility and authority

To submit a business inquiry, you must be at least 18 and authorized to make the inquiry for the business you identify. Provide accurate information to the best of your knowledge. Reasonable estimates are welcome where requested, and optional questions may be left unanswered. Tell us if an important detail changes during our discussion.

Your authority to discuss an opportunity does not necessarily establish ownership of a dataset or permission to disclose it. Do not claim rights you do not have. An initial submission does not complete due diligence or establish that data can lawfully be sold or licensed.

3. What to submit and what happens next

Submit business contact details and high-level descriptions of relevant data categories. Do not submit actual datasets, individual workplace messages, employee or customer personal records, credentials, sensitive personal information, or trade secrets. Do not include material that violates another person’s rights or an obligation of confidentiality. This form is not a secure data room or a substitute for a confidentiality agreement.

We may review your submission, send an acknowledgement, ask follow-up questions, and contact you about relevant data opportunities. Providing a phone number permits manual follow-up about your inquiry; it does not authorize automated marketing calls or texts. An inquiry is not a subscription to an unrelated newsletter. You may ask us to stop opportunity follow-up through our privacy request form or an existing conversation.

A submission confirmation indicates that the request was accepted for processing. It does not guarantee that an email reached an inbox, that we have completed a review, or that your business qualifies for an opportunity. We may decline an inquiry or request more information. If a submission fails, try again later without sending raw or sensitive data.

4. Limited permission to handle your inquiry

You retain your rights in information you submit. You give us a limited, non-exclusive permission to receive, store, reproduce, organize, and review your submitted business details and descriptions as necessary to evaluate the inquiry, assess relevant opportunities, communicate with you, and operate the inquiry service described in the Privacy Policy. This includes necessary processing by our service providers and preparation of non-identifying summaries to assess fit.

We ask permission before sharing your business identity or contact details with a potential buyer or opportunity partner for their own purposes. This limited permission does not authorize us to sell or publish your raw datasets, transfer ownership, train AI models on submitted content, or grant others a dataset license. It is not permission for an undisclosed or unrelated use.

Withdrawal of a contact preference or a privacy request is handled as explained in the Privacy Policy, subject to applicable rights and necessary retention obligations. Nothing in these terms waives your statutory privacy rights.

5. A separate agreement before a transaction

An inquiry creates no obligation to proceed, exclusivity, fiduciary relationship, agency appointment, brokerage engagement, or authority for us to bind you to a transaction. You decide whether to consider an introduction or offer.

Any engagement, paid service, data access, brokerage arrangement, sale, or license requires separate written terms. Those terms must identify the parties, scope, permitted uses, rights, responsibilities, commercial terms, and relevant privacy and security protections. Fees or commissions may apply to a later arrangement, but must be disclosed and agreed separately. These website terms do not establish a fee, commission, or payment obligation for submitting an inquiry.

Before sharing data, the relevant parties must verify ownership or other lawful authority, third-party permissions, confidentiality restrictions, employee and customer rights, applicable law, and any restrictions in platform or service contracts. Selecting a category, removing obvious identifiers, or describing data as “anonymized” does not complete that review. Data preparation and de-identification require an appropriate assessment of re-identification and other risks.

A separately signed agreement governs the matters it covers and takes priority over these website terms to the extent of a conflict.

6. No guaranteed outcome or professional advice

Not every business or dataset is suitable. We do not guarantee qualification, a buyer, an introduction, acceptance, a transaction, a response time, a valuation, or revenue. Suitability and commercial terms depend on factors such as quality, coverage, permissions, preparation, market conditions, and buyer requirements.

Any examples, potential use cases, or descriptions of value are illustrative. They are not a valuation of your data, an earnings promise, or a representation that comparable results are typical or will occur for your business.

Website content is general information and is not legal, tax, financial, investment, privacy, or information-security advice. An initial inquiry does not establish an advisory or fiduciary relationship. Obtain appropriate professional advice before relying on an opportunity or transferring data. A buyer’s interest does not establish that a transfer or use is lawful.

7. Responsible use, content, and availability

Do not impersonate another person, submit spam or unlawful material, infringe rights, introduce malicious code, attempt unauthorized access, bypass security controls, or interfere with the website or other users. We may restrict access or reject submissions when reasonably necessary to prevent misuse, comply with law, or protect the service.

The DataProceeds name, branding, design, and website content belong to their respective rights holders. You may use the site for its intended purpose. No broader ownership or license to our intellectual property is granted. You may not misrepresent an affiliation with or endorsement by DataProceeds.

Links to third-party websites, if provided, are for convenience. We do not control their content, availability, or practices; their own terms and policies apply. A link does not by itself constitute an endorsement.

We aim to keep the website accurate and available, but content or features may change and errors, interruptions, or delays may occur. To the extent permitted by applicable law, the website and general information are provided “as is” and “as available,” without warranties of uninterrupted availability, accuracy, merchantability, fitness for a particular purpose, or non-infringement. This does not affect express commitments in a separate agreement or rights that cannot lawfully be excluded.

8. Liability and rights that remain protected

To the extent permitted by applicable law, DataProceeds is not liable under these website terms for indirect, incidental, special, or consequential losses, including lost opportunities or anticipated profits arising from use of or inability to use the website or reliance on its general information.

Nothing in these terms excludes or limits liability for fraud, willful misconduct, or any responsibility, remedy, or right that cannot lawfully be excluded or limited. Applicable mandatory protections continue to apply. A separate signed agreement may set different responsibilities for a later service or transaction.

9. Updates, interpretation, and questions

We may revise these website terms to reflect changes in the service or applicable requirements. The effective date and version identify the current terms. Material changes will receive any notice or acceptance required by law; revised terms do not retroactively authorize expanded uses of previously submitted information.

If a provision is held unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision in one instance does not waive the right to enforce it later. These terms do not replace separately agreed transaction documents.
